This End User License Agreement (“EULA”) is a legal agreement between you and BRICOOP LIMITED, a company incorporated in Hong Kong (“Bricoop,” “we,” “us,” or “our”). It governs your installation, copying, deployment, and use of the Bricoop Desktop software, including updates and upgrades provided under this EULA (“Bricoop Desktop” or the “Software”).
Bricoop Desktop is licensed, not sold.
Where this EULA has been reasonably brought to your attention and applicable law permits, installing, accessing, or using Bricoop Desktop indicates your acceptance of this EULA. Where we require express acceptance, installing, accessing, or using Bricoop Desktop alone does not replace that express acceptance. If you do not agree, do not install or use the Software.
Later changes to this EULA are governed by the “Changes to This EULA” section.
Your use of Bricoop Desktop is also subject to the Bricoop Terms of Service applicable to you (“Terms”). The Bricoop Privacy Policy explains how information is processed in connection with Bricoop Desktop and related services.
1. License Grant
Subject to the scope and conditions of this EULA, Bricoop grants you a limited, non-exclusive license to install and use Bricoop Desktop on devices that you own or lawfully control. Except as expressly permitted by this EULA, the license is non-transferable and non-sublicensable to the extent permitted by applicable law. Software license termination is governed by the “Term and Termination” section.
You may use Bricoop Desktop for lawful personal, commercial, professional, research, software-development, internal-business, or other purposes, subject to the restrictions in this EULA.
Unless separate license terms applicable to you expressly provide otherwise, this EULA does not impose a fixed numerical device limit.
Bricoop and its licensors reserve their rights in the Software that are not expressly granted to you. This reservation does not restrict rights that cannot be excluded under applicable law or rights granted under an applicable separate component license.
2. Organizations and Authorized Users
If you accept this EULA on behalf of a company or other organization and have authority to bind it, “you” includes that organization and your acceptance binds it to this EULA. You may not accept this EULA on behalf of an organization without appropriate authority.
An organization may permit its authorized employees, officers, contractors, consultants, and other personnel (“Authorized Users”) to use Bricoop Desktop on its behalf and within the scope of its authorization and this EULA. Such use does not grant Authorized Users an independent right to transfer or sublicense the organization’s license or to distribute the Software beyond the permissions in this EULA.
The organization is responsible for ensuring that its Authorized Users comply with this EULA when using Bricoop Desktop on its behalf.
Unless we have made an express agreement or commitment that is binding on us in relation to you, use of Bricoop Desktop by a business or organization does not, by itself, create an enterprise service-level, dedicated-support, audit-right, regulatory-certification, security-certification, or compliance commitment. This provision does not affect obligations imposed by applicable law.
3. Internal Deployment and Copies
You may make copies of Bricoop Desktop installers and installed Software to the extent reasonably necessary for installation, backup, disaster recovery, internal software management, or internal deployment permitted by this EULA. This includes copies contained in device images or virtual-machine images used for those purposes. Those copies remain subject to the same applicable license conditions and must retain applicable copyright, proprietary, and license notices.
Organizations may deploy Bricoop Desktop to devices that they own or lawfully control for use by their Authorized Users. They may use device-management systems, configuration-management tools, shell or PowerShell scripts, internal software centers or package repositories, provisioning systems, device images, or comparable software-management mechanisms.
An organization may maintain internal installer mirrors or repositories solely for deployment permitted by this EULA, with access limited to its relevant Authorized Users and persons acting on its behalf to perform that deployment.
These activities, when carried out within the permissions above, do not constitute prohibited redistribution. They remain subject to applicable platform, operating-system, and distribution-channel requirements. Permission to use these deployment methods does not, by itself, constitute a commitment that Bricoop Desktop is compatible with a particular management platform or deployment environment.
4. IT Service Providers and Administrative Packaging
You may authorize an IT service provider, managed service provider, contractor, or similar party to copy, package, or deploy Bricoop Desktop on your behalf solely as reasonably necessary to administer devices or systems that you own or lawfully control, within the permissions in this EULA.
That party receives no independent right under this authorization to distribute, resell, sublicense, or commercially make Bricoop Desktop available beyond those permissions. You remain responsible for ensuring that the copying, packaging, and deployment you authorize comply with this EULA.
Administrative packaging is permitted solely for deployment allowed by this EULA. It includes placing an installer in an outer deployment package or creating installation scripts or similar management materials for an internal software-management system.
Administrative packaging must preserve the integrity of the original Bricoop Desktop software and installers. It must not:
- modify or replace executable code or proprietary binaries;
- remove, alter, or defeat original code signatures or integrity protections;
- remove or alter applicable copyright, proprietary, or license notices; or
- bypass security controls.
Configuration through mechanisms intentionally provided by Bricoop Desktop remains governed by the “Customization, Integrations, and Interoperability” section.
5. Virtual Machines and VDI
Subject to the same applicable license conditions, you may install and use Bricoop Desktop in virtual machines, virtual desktop infrastructure (“VDI”), development environments, or similar environments that you own or lawfully control.
For an organization, such use remains limited to use by its Authorized Users on its behalf. It does not authorize the third-party hosted offerings restricted by the “Restrictions on Redistribution and Commercial Hosting” section.
This permission does not require Bricoop Desktop to run only on physical devices and does not, by itself, constitute a commitment of compatibility with a particular virtualization platform, shared-session arrangement, or remote-access method. Applicable platform, operating-system, and distribution-channel requirements continue to apply.
6. Restrictions on Redistribution and Commercial Hosting
Except as expressly permitted by this EULA or where the restriction cannot lawfully be imposed, you may not, without Bricoop’s prior written authorization:
- publicly redistribute Bricoop Desktop;
- operate a public mirror of Bricoop Desktop installers;
- supply or distribute Bricoop Desktop installers to third parties outside the permissions in this EULA;
- sell, resell, sublicense, rent, lease, or lend the Software or rights to use it;
- distribute modified Bricoop Desktop builds;
- bundle Bricoop Desktop with other products for external distribution;
- preinstall Bricoop Desktop on hardware offered for sale;
- distribute Bricoop Desktop as part of an original equipment manufacturer (“OEM”) product; or
- falsely represent Bricoop Desktop as software you developed or own.
These restrictions do not override rights granted under an applicable separate open-source or third-party license for a particular component, and do not prohibit sharing or publishing independent extension materials as permitted by the “Your Integrations and Extension Materials” section. A separate component license does not, by itself, grant redistribution rights in other proprietary parts of Bricoop Desktop.
You may use Bricoop Desktop in your own work while providing consulting, software development, professional, or other services to customers. Such use does not, by itself, grant your customers a right to use or receive copies of Bricoop Desktop under your license.
Except for organizational use and deployment or administration expressly permitted by this EULA, you may not, without Bricoop’s prior written authorization, operate a hosted software service, service bureau, rental service, remote-desktop resale service, or similar offering whose primary purpose is to make Bricoop Desktop itself available for third-party use.
7. Authenticity and Official Builds
You may not:
- remove, alter, or defeat original Bricoop Desktop code signatures or integrity protections;
- replace proprietary Bricoop Desktop binaries and falsely represent the resulting software as an official Bricoop Desktop release;
- remove or alter applicable proprietary, copyright, or license notices;
- distribute counterfeit Bricoop Desktop builds; or
- distribute malicious software under the Bricoop name or branding.
These restrictions remain subject to activities expressly permitted by this EULA, rights that cannot lawfully be excluded, and rights granted under an applicable separate component license.
Administrative packaging permitted by the “IT Service Providers and Administrative Packaging” section does not, by itself, modify the underlying Bricoop Desktop software. It does not make the outer package an official Bricoop release or authorize you to represent it as one unless Bricoop expressly authorizes that representation.
8. Customization, Integrations, and Interoperability
Bricoop Desktop is designed to support interoperability and user-defined configurations.
Within the scope intentionally made available for those purposes, you may use supported Bricoop Desktop interfaces and extension mechanisms, including:
- Provider configurations;
- Application configurations;
- configuration files or manifests;
- custom or locally supplied integrations;
- supported local APIs;
- documented compatibility interfaces;
- SDKs or plugin interfaces where separately released and supported; and
- other supported extension mechanisms.
Using these mechanisms for their intended purposes does not, by itself, constitute prohibited modification of Bricoop Desktop. The permission is limited to the documented or otherwise expressly supported scope of each mechanism and does not authorize bypassing authentication or access controls.
For example, subject to that scope, you may create or import custom Provider configurations, create Application integrations, configure supported models or endpoints, or create clients that interoperate with supported Bricoop Desktop local APIs.
Except where applicable law or a separate component license provides otherwise, these permissions do not grant a right to receive or access the Software’s proprietary source code or unpublished proprietary implementation materials.
9. Your Integrations and Extension Materials
As between you and Bricoop, you retain any rights you have in configurations, plugins, integrations, adapters, scripts, or other materials that you independently create (“Extension Materials”).
You authorize Bricoop, acting through Bricoop Desktop, to load, parse, validate, transform, locally store, and, where supported by the relevant functionality, execute Extension Materials only as reasonably necessary to provide the functionality you request or have enabled. This authorization does not transfer ownership of your Extension Materials.
You may share or publish Extension Materials that you independently create, provided that you:
- have the necessary rights to do so;
- do not redistribute proprietary Bricoop Desktop components as part of those materials beyond the permissions in this EULA or a separate authorization;
- do not include credentials or other information you are not authorized to disclose;
- do not infringe third-party rights; and
- do not falsely represent the materials as official, certified, approved, or endorsed by Bricoop.
Subject to applicable trademark law, you may accurately state that an independently developed product or integration is designed to work with or is compatible with Bricoop Desktop. Such a statement must not falsely imply a partnership, certification, approval, or endorsement by Bricoop.
This EULA does not grant a general license to use Bricoop trademarks, logos, or branding. Rights expressly granted separately or available under applicable law remain unaffected.
10. Proprietary Software Restrictions
Except for activities expressly permitted by this EULA or through functionality intentionally provided for configuration, customization, deployment, or interoperability, and except to the extent applicable law or a separate component license permits an activity despite these restrictions, you may not:
- modify or patch proprietary Bricoop Desktop components;
- adapt proprietary Bricoop Desktop code;
- create unauthorized derivative versions of Bricoop Desktop;
- reverse engineer, decompile, or disassemble proprietary parts of the Software;
- attempt to derive proprietary source code;
- circumvent or defeat technical limitations, license protections, or security controls; or
- otherwise derive unpublished proprietary implementation materials.
These restrictions do not override rights that cannot lawfully be excluded or rights granted under an applicable separate open-source or third-party license. Research expressly authorized under the “Security Research” section remains permitted within its authorized scope and conditions.
11. Security Research
Nothing in this EULA prohibits interoperability or security-research activities to the extent applicable law permits them despite contractual restrictions.
Bricoop also authorizes good-faith research within the scope and conditions of the Bricoop Security & Vulnerability Disclosure policy applicable when the research is conducted. That policy governs the research authorization, reporting, coordinated disclosure, and safe harbor it grants. The proprietary software restrictions in this EULA do not prohibit research expressly authorized under that policy; the authorization does not extend to independent third-party systems.
In conducting research, you must not:
- access systems or information beyond your authorization;
- unnecessarily damage Bricoop-controlled systems or user systems;
- exploit a vulnerability beyond what is reasonably necessary to identify and responsibly report it;
- disclose credentials or personal information without appropriate authority; or
- use a vulnerability for malicious or unauthorized purposes.
When reporting an issue, provide only information reasonably necessary for the authorized confidential report and follow the applicable policy’s handling requirements. Nothing in this section narrows authorization or safe harbor expressly granted under the policy applicable when the relevant research was conducted.
Report security issues privately to security@bricoop.com.
12. Ownership and Intellectual Property
Bricoop and its licensors retain their respective rights in Bricoop Desktop and its proprietary components and materials, including applicable software code, interfaces, product design, graphics, documentation, and branding, to the extent protected by applicable intellectual-property law.
This EULA grants rights to use the Software within its scope; it does not transfer ownership of the Software or its intellectual property to you. Your rights in independently created Extension Materials remain governed by the “Your Integrations and Extension Materials” section.
Except where applicable law or a separate component license provides otherwise, this EULA does not grant a right to receive or access:
- proprietary source code for Bricoop Desktop;
- internal source repositories;
- proprietary build infrastructure;
- unpublished proprietary implementation materials; or
- other proprietary materials not expressly made available to you.
13. Open-Source and Separately Licensed Components
Bricoop Desktop includes components governed by separate licenses, including open-source licenses. Such components may be owned by Bricoop or by third parties.
An applicable separate license governs the relevant component to the extent of any conflict with this EULA. This EULA does not restrict rights granted under that license, including any applicable rights to copy, modify, redistribute, or obtain source code. Those rights remain subject to that license’s conditions and do not, by themselves, grant rights in other proprietary parts of Bricoop Desktop.
Applicable license texts, copyright and attribution notices, and any required source-code information must be provided or made available with the relevant distribution as required by the applicable licenses. These materials may appear in Bricoop Desktop’s Third-Party Notices, Open Source Notices, accompanying files, or documentation; their names and locations may vary by version or distribution channel.
Separately licensed components remain subject to their applicable license terms, including applicable warranty disclaimers and other conditions. Such component terms do not eliminate obligations imposed on Bricoop by applicable law or binding commitments Bricoop has made to you.
14. Future Open-Source and Separate Licensing
Bricoop may release particular libraries, SDKs, tools, schemas, samples, plugins, APIs, interoperability components, or other software in which it has the necessary rights under separate licenses. This statement does not, by itself, create an obligation to make such a release.
Those licenses may include:
- open-source licenses;
- commercial licenses;
- proprietary licenses;
- dual licenses; or
- other licensing models.
Separately licensing a component does not, by itself, change the license for Bricoop Desktop as a whole or for other components. Any different license applies only to the software and scope expressly covered by it.
A later release under different terms does not, by itself, retroactively revoke rights validly granted for an earlier version. Existing rights under an applicable separate license remain subject to that license’s conditions.
15. Updates, Upgrades, and Supported Versions
Subject to applicable law, binding commitments we have made, and existing rights, Bricoop may provide updates, bug fixes, security patches, compatibility changes, feature updates, upgrades, and replacement versions.
Unless separate or additional license terms validly applicable to you govern an update, this EULA continues to apply to the updated Software. Changes to this EULA remain subject to the “Changes to This EULA” section.
Updates may:
- add, modify, migrate, replace, or remove functionality;
- modify Provider or Application compatibility;
- change configurations or schemas;
- remove legacy authentication methods;
- modify security controls;
- discontinue older functionality;
- change supported operating systems; or
- otherwise change the behavior of Bricoop Desktop.
For material Bricoop-controlled discontinuations or changes that break existing compatibility, the notice principles in the “Changes, Updates, Deprecation, and Beta Features” section of the Terms applicable to you apply.
A license does not, by itself, create a commitment to maintain, update, provide security updates for, support, or preserve compatibility with a particular version indefinitely. This does not affect binding commitments or obligations imposed by applicable law. Bricoop may identify versions as supported, deprecated, unsupported, or at end of support.
16. Update Checks and Online Services
Where supported by the relevant product and distribution channel, Bricoop Desktop may periodically check for available updates. Whether updates are downloaded or installed automatically depends on the relevant functionality, distribution channel, and applicable settings. This EULA does not promise automatic updating in every environment.
Updates distributed through an application store may be handled under the applicable platform’s settings and rules. System package-manager installations may be updated through the relevant system mechanisms.
Subject to applicable law, binding commitments we have made, and existing rights, Bricoop may require a supported or updated version to access Bricoop-operated online services where reasonably necessary for security, compatibility, or service integrity. The relevant access conditions are governed by the Terms applicable to you and any validly applicable product-specific terms.
Those services may include catalogs, software updates, support functionality, or other Bricoop-operated online services where offered. This provision does not, by itself, promise the availability of a future network or cloud service.
An unsupported version may continue to function locally in some circumstances. Continued compatibility with Providers, Applications, operating systems, Bricoop-operated services, or other dependencies is not guaranteed, subject to binding commitments and obligations imposed by applicable law.
17. Support
Bricoop may provide software support, documentation, updates, and maintenance on a reasonable-efforts basis, subject to any binding commitments we have made and obligations imposed by applicable law.
Unless we have made an express agreement or commitment that is binding on us in relation to you, we do not promise a particular support method, response or resolution time, duration of support, availability, recovery time, or service level merely because you hold a license.
Bricoop may limit discretionary support to currently supported versions. This does not exclude support obligations that cannot lawfully be excluded or that arise from binding commitments we have made.
18. Future Versions and Paid Offerings
Unless otherwise required by applicable law or a binding commitment we have made to you, a license to a current version does not, by itself, entitle you to:
- future major versions;
- future premium features;
- future paid upgrades;
- business or enterprise editions; or
- other separately licensed products.
Future products, editions, major versions, or premium functionality may be offered under different or additional license or commercial terms validly applicable to you. This section does not, by itself, remove rights already validly granted to use a version you have obtained.
19. Term and Termination
Subject to mandatory law, this EULA applies to you from the later of your valid acceptance time and its stated effective time, and continues until terminated under this section. Later changes remain subject to the “Changes to This EULA” section.
You may terminate this EULA at any time by ceasing use of Bricoop Desktop and removing copies within your possession or control, subject to the retention exception below.
Subject to applicable law, binding commitments we have made, and existing rights, Bricoop may terminate your license if you materially breach this EULA.
Where reasonably practicable and permitted by law, we will use reasonable efforts to notify you of termination and explain the reasons. Where a material breach is reasonably capable of being cured, Bricoop may provide an opportunity to cure where appropriate. Bricoop may terminate the license immediately where the material breach is not reasonably curable or materially threatens Bricoop intellectual property, security, users, or Bricoop-operated systems.
Examples may include:
- unauthorized public redistribution;
- deliberate unauthorized distribution of modified or counterfeit Bricoop Desktop builds;
- unauthorized commercial resale;
- material infringement of Bricoop proprietary rights; or
- deliberate unauthorized circumvention of material security or license protections.
Upon termination, you must stop using the Software under this EULA and remove copies within your possession or control, subject to the retention exception below.
Termination does not affect rights, obligations, or liabilities accrued before termination, or Bricoop’s right to seek damages, injunctive relief, or other remedies available under applicable law for breach, infringement, or other unlawful conduct.
Copies retained solely to comply with applicable law, or contained in ordinary immutable or archival backup systems, may be retained without immediate physical destruction provided they are not restored or used to continue use under the terminated license.
License termination ends your right to use the Software under this EULA; termination itself is not a technical action that remotely removes or disables software on your device. Restrictions on access to Bricoop-operated services remain governed by the Terms applicable to you.
Provisions that by their nature should survive termination will survive, including ownership, intellectual property, liability, accrued rights, governing law, and disputes. Termination of this EULA does not, by itself, terminate rights under a separate component license, which remain governed by that license and its conditions.
20. Warranty Disclaimer
To the maximum extent permitted by applicable law, Bricoop Desktop is provided “as is” and “as available.”
Except for warranties, obligations, and rights that cannot lawfully be excluded or limited, and any warranties or commitments we have expressly made that are binding on us in relation to you, Bricoop does not warrant that:
- Bricoop Desktop will operate without interruption or be completely free of errors;
- all defects or vulnerabilities will be identified or corrected;
- the Software will remain compatible with every Provider, Application, operating system, configuration, or third-party service;
- every version will continue to receive updates or support;
- Bricoop Desktop will meet every regulatory or industry requirement; or
- the Software will be suitable for every particular purpose.
Additional disclaimers concerning Services, Providers, Applications, AI Output, and related functionality are set out in the Terms applicable to you.
Nothing in this EULA excludes or limits any warranty, duty, right, or remedy that applicable law does not permit Bricoop to exclude or limit.
21. Limitation of Liability
To the extent permitted by applicable law, the liability limitations, exclusions, and exceptions in the “Limitation of Liability” section of the Bricoop Terms of Service applicable to you also apply to liability arising out of or relating to Bricoop Desktop or this EULA.
This EULA and the Terms share the aggregate liability cap specified in that section. The existence of two agreements does not create a separate or additional liability allowance, and the cap is not calculated separately for each agreement, claim, or incident.
Nothing in this EULA excludes or limits liability that applicable law does not permit to be excluded or limited, or restricts any non-waivable rights you have under applicable law concerning software or services.
22. Export and Trade Compliance
You must comply with applicable export-control, import, sanctions, trade, and similar laws relating to your acquisition, possession, use, or distribution of Bricoop Desktop.
Where reasonably necessary to comply with applicable law, Bricoop may restrict software distribution, availability, or access to Bricoop-operated services. Such restrictions remain subject to applicable law, including any mandatory rights or remedies.
23. Relationship to Other Bricoop Terms
This EULA primarily governs the Bricoop Desktop software license, including installation, copying, internal deployment, redistribution, modification, reverse engineering, software ownership, software updates, and license termination.
The Terms applicable to you primarily govern the broader service relationship, including Provider connections, third-party or user-developed Applications and scripts, AI Output, Provider usage and charges, AI-assisted actions, Bricoop-operated online services, and service-related liability.
The Bricoop Privacy Policy describes privacy and data-processing practices concerning Bricoop Desktop and related services.
The Bricoop Security & Vulnerability Disclosure policy describes security practices, vulnerability reporting, and the scope, conditions, and safe harbor for good-faith research. The proprietary software restrictions in this EULA do not prohibit research expressly authorized under the policy applicable when the research was conducted.
If this EULA and the Terms applicable to you directly conflict, this EULA controls only for matters specifically concerning the Bricoop Desktop software license. The Terms control for other matters concerning the Services, including Provider connections, usage and charges, AI Output, and Bricoop-operated websites and online services. Other validly applicable product-specific terms control for the relevant product or feature where they expressly provide otherwise.
A separately licensed component remains governed by its applicable separate license as described in the “Open-Source and Separately Licensed Components” section. Liability limitations and the shared aggregate cap remain governed by the “Limitation of Liability” section and the Terms applicable to you.
24. Governing Law and Jurisdiction
This EULA is governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-law principles.
Except as expressly provided in this section or required by applicable law, the courts of the Hong Kong Special Administrative Region have exclusive jurisdiction over any dispute, claim, action, or proceeding arising out of or relating to this EULA or Bricoop Desktop, including the formation, validity, interpretation, performance, breach, or termination of this EULA. You and Bricoop submit to the jurisdiction of those courts and agree that such proceedings will be brought only in those courts.
Nothing in this section limits any jurisdiction, right, protection, or remedy that cannot lawfully be waived under applicable law. Where applicable law requires a particular jurisdiction or gives you a non-waivable right to bring proceedings in another court, the court-selection agreement above does not override those rules or restrict that right. If you are a consumer, the choice of Hong Kong law does not deprive you of protections afforded by provisions that cannot be derogated from by agreement under the law that would apply in the absence of this choice.
Interim and Protective Relief. Either party may seek interim, provisional, emergency, protective, or conservatory relief from any court of competent jurisdiction where such relief is available and reasonably necessary to preserve rights or prevent material harm pending final resolution of a dispute. Any such application remains subject to applicable law and that court’s jurisdiction and requirements. Except as otherwise provided in this section or required by applicable law, seeking such interim relief does not itself change the exclusive-jurisdiction arrangement for the underlying dispute.
Bricoop Protective Claims. Subject to applicable law, Bricoop may also bring proceedings in any court of competent jurisdiction for claims directly concerning:
- (a) infringement or misappropriation of Bricoop’s intellectual property or proprietary rights;
- (b) unauthorized acquisition, use, or disclosure of Bricoop’s confidential information; or
- (c) unauthorized access to, use of, attack on, or interference with Bricoop-controlled software, services, accounts, networks, or systems.
Bricoop may seek any remedy available under applicable law in connection with those claims. This exception applies only to claims that independently and directly concern one of the matters listed above; ordinary contractual payment or performance disputes do not fall within it merely because the conduct constitutes a breach of contract or is described as unauthorized use.
Nothing in this section narrows any authorization or safe harbor expressly granted under the version of the Bricoop Security & Vulnerability Disclosure policy applicable when the relevant research was conducted.
Recognition and Enforcement. Either party may seek recognition or enforcement of a judgment or order, in accordance with applicable law, in any court of competent jurisdiction where the other party or its assets may be located.
Class and Representative Action Waiver. To the fullest extent permitted by applicable law, you and Bricoop agree that each may bring disputes and claims only in an individual capacity. Neither party may bring or participate in a dispute as a plaintiff, claimant, class member, or representative in any purported class, collective, consolidated, or representative action or proceeding.
This waiver does not apply to any right, remedy, or proceeding that cannot lawfully be waived under applicable law. It does not prevent either party from reporting matters to governmental or regulatory authorities, or restrict proceedings brought by governmental or regulatory authorities, authorized consumer organizations, or other persons or bodies acting under statutory authority.
Severability of Dispute Provisions. To the extent permitted by applicable law, any court-selection or individual-proceeding provision in this section that is held invalid or unenforceable for a particular claim, person, or jurisdiction will be severed or limited only to the minimum extent necessary to address that invalidity or unenforceability. Such a finding does not, by itself, invalidate the remaining provisions or their application to other claims, persons, or jurisdictions, which continue to apply only to the extent permitted by applicable law.
No Mandatory Arbitration. Nothing in this section requires either party to submit a dispute to arbitration.
25. Apple App Store Additional Terms
This section applies only to copies of Bricoop Desktop obtained through an Apple App Store. For those copies, the mandatory Apple requirements in this section apply despite any conflicting provision elsewhere in this EULA.
25.1 Parties
You acknowledge that this EULA is between you and BRICOOP LIMITED, not Apple Inc. (“Apple”). Bricoop is solely responsible for Bricoop Desktop and its content, rather than Apple.
The usage rules in this EULA must be consistent with the applicable usage rules in the Apple Media Services Terms and Conditions.
25.2 Scope of Apple Store License
For a copy obtained through an Apple App Store, you receive a non-transferable license to use Bricoop Desktop on Apple-branded products that you own or control, as permitted by the applicable Apple usage rules. The Software may also be accessed and used by other accounts associated with the purchaser through Family Sharing or volume purchasing where permitted by those rules.
Nothing in this EULA authorizes use inconsistent with the applicable Apple usage rules.
25.3 Maintenance and Support
Bricoop is solely responsible for maintenance and support services specified in this EULA or required by applicable law. Apple has no obligation to provide maintenance or support for Bricoop Desktop.
25.4 Warranty
Bricoop is solely responsible for applicable product warranties, whether expressly given or implied by law, to the extent they have not been effectively disclaimed.
If Bricoop Desktop fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price you paid to Apple for Bricoop Desktop in accordance with the applicable Apple requirements.
To the maximum extent permitted by applicable law, Apple has no other warranty obligation concerning Bricoop Desktop. Other claims, losses, liabilities, damages, costs, or expenses attributable to failure to conform to an applicable warranty are Bricoop’s responsibility, subject to applicable law and liability limitations permitted under that law.
25.5 Product Claims
Bricoop, rather than Apple, is responsible for addressing claims by you or a third party relating to Bricoop Desktop or your possession or use of it, including:
- product-liability claims;
- claims that Bricoop Desktop fails to conform to applicable legal or regulatory requirements; and
- claims arising under consumer-protection, privacy, or similar laws.
Any liability limitation in this EULA applies only to the extent permitted by applicable law and the mandatory requirements applicable to this Store copy.
25.6 Intellectual Property Claims
If a third party claims that Bricoop Desktop, or your possession or use of it, infringes that party’s intellectual-property rights, Bricoop, rather than Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
25.7 Legal Compliance
You represent and warrant that:
- you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as supporting terrorism; and
- you are not listed on a U.S. Government list of prohibited or restricted parties.
You must comply with applicable third-party terms when using Bricoop Desktop.
25.8 Apple as Third-Party Beneficiary
You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple has the right, and is deemed to have accepted the right, to enforce this EULA against you as a third-party beneficiary.
25.9 Apple Contact Requirement

26. Microsoft Store Additional Terms
This section applies only to copies of Bricoop Desktop obtained through the Microsoft Store.
This EULA is the license agreement between you and BRICOOP LIMITED concerning Bricoop Desktop. Microsoft does not become the licensor under this EULA merely because it distributes the Software through the Microsoft Store.
Your acquisition, installation, licensing, updating, and use of Microsoft Store functionality may also be governed by Microsoft’s applicable store, account, digital-goods, and platform terms. Where Microsoft manages installation or updates, those platform functions are governed by the applicable Microsoft settings and terms.
Nothing in this EULA authorizes reproduction, redistribution, or other use inconsistent with mandatory Microsoft Store usage rules applicable to the copy you obtained through that Store.
27. Changes to This EULA
Bricoop may update this EULA from time to time.
We publish this EULA at a fixed website address and identify its update and effective dates. Editorial corrections that do not materially change its meaning, rights, or obligations do not require renewed acceptance.
For substantive changes, we publish a change summary and seek renewed express acceptance. Where required by law or reasonably appropriate, we provide reasonable notice before the changes take effect. Urgent changes required by law or for security may require a shorter notice period, subject to applicable law.
The EULA and Terms may be revised separately. An ordinary software update does not itself mean that these documents have changed, and a substantive change can be published independently of a software update.
Where renewed express acceptance is required, the revised provisions apply prospectively to you from the later of your valid acceptance time and the stated effective time, subject to mandatory law. Until then, the previously applicable terms continue to govern existing use unless lawfully terminated. Software installation, automatic startup, background tasks, or continued execution alone do not constitute the express acceptance we request.
You may choose not to accept the revised EULA. Subject to applicable law, binding commitments we have made, and existing rights, we may condition further interactive use or new functionality on express acceptance. You may decline that condition by stopping use of the affected Software or functionality. Restrictions on service access and termination of the software license remain governed by the Terms applicable to you and this EULA, respectively.
Nothing in a later EULA retroactively removes rights validly granted to you under a separate open-source or third-party license.
28. General Provisions
If a provision of this EULA is held invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
Bricoop’s failure to immediately enforce a provision does not, by itself, waive its right to enforce that provision later.
Except as expressly permitted by this EULA, where applicable law provides otherwise, or where we agree in writing, you may not assign or transfer this EULA or rights or obligations under it. Bricoop may make a corresponding assignment or transfer in connection with a merger, acquisition, corporate reorganization, or transfer of the relevant business or assets, subject to applicable law and without depriving you of non-waivable rights under that law.
To the extent permitted by applicable law, Bricoop is not responsible for delays or inability to perform directly caused by events reasonably beyond its control. Where reasonably practicable, we will take reasonable measures to mitigate their effects. This provision does not exclude obligations, liabilities, or remedies that cannot lawfully be excluded.
Headings are provided for convenience and do not affect interpretation.
