These Terms of Service (“Terms”) govern your access to and use of Bricoop Desktop, Bricoop-operated websites, software update and catalog services, support services, and other services that expressly reference these Terms (collectively, the “Services”).
The Services are provided by BRICOOP LIMITED, a company incorporated in Hong Kong (“Bricoop,” “we,” “us,” or “our”).
Where these Terms have been reasonably brought to your attention and applicable law permits, downloading, installing, accessing, or using the Services indicates your acceptance of these Terms. Where we require express acceptance, downloading, installing, accessing, or using the Services alone does not replace that express acceptance. If you do not agree, do not use the Services.
Later changes to these Terms are governed by the “Changes to These Terms and General Provisions” section.
The Bricoop Privacy Policy explains how information is processed in connection with the Services. Your license to install and use Bricoop Desktop is also subject to the applicable Bricoop Desktop End User License Agreement (“EULA”).
1. Eligibility and Organizations
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
You may use the Services for lawful personal or commercial purposes.
If you accept these Terms on behalf of a company or other organization and have authority to bind that organization, “you” includes that organization and your acceptance binds it to these Terms. You may not accept these Terms on behalf of an organization without appropriate authority.
If you use the Services with accounts, credentials, devices, systems, data, or other resources belonging to an organization, you are responsible for ensuring that you are authorized to do so and that your use complies with the organization’s applicable policies.
Unless we expressly agree otherwise in writing or have made an express commitment that is binding on us in relation to you, permission to use the Services for business purposes does not, by itself, create an enterprise service commitment. We do not promise specific availability, support response times, recovery times, dedicated support, regulatory certification, audit rights, or other enterprise service levels merely because the Services are used for business. This provision does not affect obligations imposed by applicable law.
You and your organization are responsible for determining whether the Services and any Providers, Applications, integrations, or configurations you use are appropriate for your legal, contractual, confidentiality, security, and regulatory requirements.
2. How Bricoop Desktop Works
Bricoop Desktop is primarily a desktop application that runs on your device and uses supported integrations to connect applications and workflows to AI providers and related services.
Depending on the relevant functionality, integrations, and configuration, Bricoop Desktop may:
- connect to third-party or user-operated AI providers and model services, including locally deployed or self-hosted model services (“Providers”);
- interoperate with third-party or user-developed applications, developer tools, extensions, command-line tools, browsers, agents, scripts, or other software (“Applications”);
- load or use Bricoop-maintained integration definitions;
- load or use integrations or configurations supplied by you or another third party; and
- access Bricoop-operated services such as software updates, catalogs, and support.
Bricoop Desktop performs connection management, request routing, and compatibility processing on your device for configured Providers. Providing these functions alone does not mean that Bricoop operates those Providers’ underlying models or AI services.
Communication with Providers or Applications may take place on the same device or over a network, depending on the relevant functionality, integrations, and configuration. Running Bricoop Desktop locally does not mean that all functionality can be used offline or that all information is processed only on your device.
3. Third-Party and User-Operated AI Providers
Providers may be operated by independent third parties, by you, or by your organization. Where supported by the relevant integration and configuration, they may run on your device or on self-hosted infrastructure. A third-party model license does not, by itself, mean that the model service is operated by that third party.
When you use a third-party-operated Provider, you are responsible for complying with its applicable terms. That Provider’s own privacy practices, eligibility requirements, regional restrictions, pricing, subscription conditions, usage limits, quotas, account rules, and other policies apply independently to the extent applicable.
By configuring and enabling Provider access sources for use through Bricoop Desktop, you authorize Bricoop, through Bricoop Desktop and in accordance with your configuration currently in effect, to select destinations for requests and related processing from the Providers and access sources that are enabled, available, and compatible with your configuration. Specifying a model does not, by itself, specify a Provider. Related compatibility or context-processing calls may use a different eligible Provider from the one serving the main response. Such processing and its usage and cost implications are described in the “Provider Differences, Translation, and Emulated Features” and “Provider Usage, Costs, and Additional Requests” sections.
The operator is responsible for the Provider’s own services and operations. To the extent applicable, Bricoop does not control or guarantee the following matters:
- Provider availability or uptime;
- continued availability of any model;
- Provider account status;
- Provider pricing or billing;
- quotas, credits, rate limits, or subscription allowances;
- Provider authentication methods;
- Provider APIs or protocols;
- Provider data-handling or security practices;
- the continued availability of a Provider in a particular country or region; or
- Provider compliance with commitments made directly to you.
A Provider may modify or discontinue its services without advance notice to Bricoop. As a result, an integration may stop working or behave differently before Bricoop is able to update it.
For a Provider operated by you or your organization, you are responsible for managing its deployment, access controls, data handling, and operating costs, and complying with applicable model and component licenses and law.
Local deployment alone does not restrict all Bricoop Desktop routing to your device. Main and auxiliary requests may still be sent to other eligible Providers according to the configuration you have enabled and that is currently in effect. Any other external communications by model services, related components, or proxies depend on their implementation and configuration.
4. Bricoop Official Integrations
A “Bricoop Official Integration” is an integration definition published or maintained by Bricoop for use with Bricoop Desktop, including definitions for connecting Providers or Applications.
“Official” indicates that Bricoop publishes or maintains the integration definition.
Unless we expressly state otherwise, identifying an integration as a Bricoop Official Integration does not, by itself, indicate sponsorship, endorsement, certification, approval, or recommendation of Bricoop by the relevant Provider or the developers or operators of an Application, or a partnership between Bricoop and any of them.
Listing a Provider, Application, or integration in a Bricoop catalog does not, by itself, constitute certification, a warranty, or a recommendation by Bricoop concerning the relevant Provider or Application.
We use reasonable efforts to maintain Official Integrations. Changes to a relevant Provider’s or Application’s APIs, protocols, authentication methods, versions, configuration formats, or other functionality may require changes to an integration or cause it to stop working; we do not guarantee continued compatibility.
For Bricoop-controlled integration changes or discontinuations, the “Changes, Updates, Deprecation, and Beta Features” section applies. The statements above do not affect any express commitments we have made that are binding on us in relation to you, or obligations imposed by applicable law.
5. Custom and Local Integrations
Where supported by the relevant functionality, Bricoop Desktop may allow you to import or use unofficial integration definitions or configurations, including versions created, supplied, or modified by you or by third parties other than Bricoop (“Custom Integrations”).
Custom Integrations may include unofficial versions created when you or a third party modify Bricoop Official Integration definitions. Importing an integration from a local file does not mean that it connects only to services on your device or processes information only on your device.
Unless we expressly state otherwise, the ability to import, load, or use a Custom Integration does not, by itself, mean that Bricoop has performed an independent review or security audit of it, or certified or endorsed it. This also applies to its:
- operator;
- network destinations;
- security;
- compatibility;
- declared capabilities;
- legality;
- data practices; or
- compliance with applicable Provider, Application, or license terms.
Technical checks performed by Bricoop Desktop depend on the relevant functionality and integration type. Such checks, including format checks, content consistency checks, applicable network destination checks, and related information displays, do not constitute a guarantee of the security or trustworthiness of the integration, relevant destinations, or operators.
You are responsible for reviewing, to the extent reasonably practicable, the origin, relevant permissions, and network destinations of Custom Integrations and deciding whether to use them.
To the maximum extent permitted by applicable law, Bricoop is not responsible for loss caused by the content, configuration, network destinations, security, compatibility, or behavior of a Custom Integration to the extent those matters are outside Bricoop’s control. For loss directly caused by software or systems controlled by Bricoop, Bricoop’s responsibility remains subject to the liability limitations in these Terms and applicable law.
6. Third-Party and User-Developed Applications and Tools
Where supported by the relevant functionality and authorized, Bricoop Desktop may help connect to or configure Applications, or interoperate with them.
These Applications are supplied by you or independent third parties. Helping establish a connection or configure them through Bricoop Desktop does not, by itself, make them Bricoop’s own software products.
An independent Application’s internal operation, command execution, security, availability, and data handling depend on its own implementation, configuration, and developers or operators. Bricoop Desktop’s connection or configuration functionality does not, by itself, mean that Bricoop has full control over these matters.
Where an Application has applicable separate terms of use or licenses, their requirements continue to apply separately.
Decisions independently made or actions independently executed by an Application are not treated as controlled or carried out by Bricoop merely because the Application communicates with a Provider through Bricoop Desktop.
References or links in AI output to third-party websites, software, repositories, products, or services do not, by themselves, constitute endorsement or recommendation by Bricoop of the relevant content, products, or services.
Any responsibility of Bricoop for connection, configuration, routing, and compatibility processing performed by Bricoop Desktop itself, or for other components controlled by Bricoop, is determined under the liability limitations in these Terms and applicable law.
7. Credentials and Authorization
You may configure, connect, or use only Provider accounts, API keys, OAuth credentials, subscriptions, and other access methods that you are authorized to use, and must ensure that the relevant access and use comply with the applicable authorization scope and Provider terms. Possessing credentials, purchasing a subscription, or successfully establishing a connection does not, by itself, mean that every access or use method is permitted.
You must not knowingly use the Services to:
- use another person’s credentials without permission;
- obtain unauthorized access to an account or system;
- evade quotas or rate limits, or circumvent access, regional, or security restrictions, without authorization or in violation of applicable Provider terms; or
- use a Provider contrary to applicable Provider terms.
You are responsible for using reasonable care to protect credentials within your control, including Provider credentials and Bricoop Desktop local access credentials. If you discover or reasonably suspect that credentials have been compromised, you should promptly take reasonable measures, such as revoking or rotating credentials, disabling the relevant access, or contacting the relevant Provider or administrator.
Within the scope of the connection you authorize, Bricoop Desktop may provide an Application with local access credentials, endpoint configuration, and other connection information needed to establish or maintain that connection. This does not, by itself, mean that the Application receives your API keys or OAuth credentials for accessing the underlying Provider.
Local access credentials may be written to an Application’s local configuration or other connection files, which are not necessarily protected by Bricoop Desktop’s database encryption measures. An Application’s subsequent processing, storage, and protection of the information it receives depend on its own implementation, configuration, security measures, and applicable terms.
Local access credentials can authorize requests through Bricoop Desktop. Such requests may use routable Providers according to the configuration currently enabled and generate usage or charges, so you should also protect these credentials appropriately.
To the maximum extent permitted by applicable law, Bricoop is not responsible for Provider charges resulting from credential compromise or unauthorized use caused by factors outside Bricoop’s control. For credential compromise or unauthorized use directly caused by security defects in software or systems controlled by Bricoop, Bricoop’s responsibility remains subject to the liability limitations in these Terms and applicable law.
8. Your Content
You retain any rights you have in prompts, files, instructions, messages, tool results, and other content that you provide or process through the Services (“Your Content”).
You authorize Bricoop, acting through Bricoop Desktop, to process, store locally, transform, and transmit Your Content only as reasonably necessary to provide the functionality you request or have enabled. This includes the processing of necessary copies, summaries, and transformed context for related routing, compatibility, and auxiliary processing. Related routing and transmission to Providers remain subject to the authorization scope described in the “Third-Party and User-Operated AI Providers” section. This authorization does not transfer any rights you have in Your Content.
For retention and cleanup of local storage and caches, see the relevant functionality settings and the Bricoop Privacy Policy.
You are responsible for ensuring that you have the rights and permissions necessary to use Your Content through the Services.
You must not use the Services to process content where doing so would violate applicable law, third-party rights, confidentiality obligations, contractual restrictions, or applicable Provider terms.
Before using confidential, proprietary, personal, regulated, or otherwise restricted information with the Services, you are responsible for determining whether you are permitted to provide that information to the Providers eligible under your enabled configuration, including for auxiliary processing, and to the Applications you connect.
9. AI Output
Content generated by AI and the results of compatibility processing of that content, made available through Bricoop Desktop (“Output”), may include responses generated by Providers and summaries, repaired content, or restructured content produced by related processing. Provider selection and related processing are governed by the “Third-Party and User-Operated AI Providers” and “Provider Differences, Translation, and Emulated Features” sections, respectively.
Bricoop does not become the underlying AI model provider merely because Bricoop Desktop performs these compatibility operations.
As between you and Bricoop, Bricoop does not claim ownership of Output described in this section, including Output after compatibility processing by Bricoop Desktop. Your rights in Output remain subject to applicable law, Provider terms, and third-party rights.
Output may:
- be inaccurate, incomplete, misleading, or outdated;
- contain errors or security vulnerabilities;
- be unsuitable for your intended purpose;
- reference third-party content or services;
- fail to function as expected; or
- be the same as or similar to content generated for other users.
Bricoop does not warrant that Output is unique or that its use will not implicate third-party rights.
You are responsible for appropriately reviewing and validating Output you intend to rely on, taking into account its intended use and risks. Before deployment or execution, code should undergo review and testing appropriate to its use and risks. Successful format validation or structural repair does not, by itself, mean that the facts, code, or instructions in Output are correct, safe, or suitable for your purpose.
Bricoop itself does not provide legal, medical, financial, tax, accounting, or other regulated professional advice.
You should not rely on AI Output as the sole basis for decisions that have significant legal or material effects on another individual, including decisions concerning employment, credit, housing, insurance, education, medical care, or similar high-impact matters. Appropriate human review and professional judgment should be used where applicable.
You are also responsible for complying with applicable laws and Provider terms concerning disclosure or labeling of AI-generated or AI-modified content. You must not knowingly represent AI-generated content as human-generated where doing so would be unlawful, fraudulent, or materially misleading.
The statements above about the limitations of Output and your review responsibilities do not affect any express commitments we have made that are binding on us in relation to you, or obligations imposed by applicable law. Any responsibility of Bricoop for Output processing controlled by Bricoop remains subject to the liability limitations in these Terms and applicable law.
10. Provider Differences, Translation, and Emulated Features
AI Providers differ in their models, APIs, protocols, features, security characteristics, privacy characteristics, and data-handling practices.
Bricoop Desktop provides a compatibility layer intended to improve interoperability across Providers and Applications. We seek functional interoperability; we do not guarantee that different Providers or implementations are semantically or technically equivalent.
To provide compatibility, Bricoop Desktop may translate, adapt, omit, supplement, transform, repair, or emulate features.
For a capability requested by an Application, support and implementation depend on the selected Provider, model, integration definition, software version, and applicable configuration, and may involve the following:
- Native — substantially supported by the selected Provider itself;
- Translated — the Provider offers similar functionality, but Bricoop Desktop converts between different protocols or schemas;
- Emulated — the Provider does not offer an equivalent native capability and Bricoop Desktop uses another technique to provide similar functionality; or
- Unsupported — Bricoop Desktop cannot reasonably provide the capability.
A single capability or request may combine native functionality, protocol translation, and emulation. A Provider’s native support for a capability does not mean that using it through Bricoop Desktop involves no translation or other compatibility processing.
Emulated functionality may use techniques such as additional Provider requests, generated prompts, model-generated summaries, local processing, synthesized state, repair operations, or fallback processing.
A translated or emulated capability may differ from a Provider-native capability in areas including:
- behavior and output quality;
- context or reasoning-state preservation;
- request and response semantics;
- streaming behavior;
- tool behavior;
- token usage;
- caching;
- latency;
- error handling;
- Provider charges;
- confidentiality;
- encryption;
- retention; and
- other privacy or security characteristics.
The compatibility processing described above remains subject to the scope of authorization for content processing and routing described in these Terms.
Where we are aware of material differences between translated or emulated implementations in Official Integrations and Provider-native implementations in data handling, security, privacy, usage, charges, or other usage characteristics, we will use reasonable efforts to disclose those differences through the product or related documentation. We do not undertake to identify or describe every minor difference between Providers.
11. Provider Usage, Costs, and Additional Requests
Your use of Providers through Bricoop Desktop may consume tokens, credits, quotas, subscription allowances, or other Provider resources and may result in fees charged by those Providers.
You are responsible for reviewing and complying with the Provider’s applicable pricing and billing terms.
Bricoop Desktop’s compatibility mechanisms may result in usage different from direct use of a Provider. To the extent reasonably necessary to provide the functionality you request or have enabled, Bricoop Desktop may make additional requests for:
- retries;
- protocol translation;
- fallback processing;
- structured-output repair;
- compatibility processing;
- context management;
- compaction;
- feature emulation; or
- similar operations.
Related requests remain subject to the scope of authorization for content processing and routing described in these Terms.
These mechanisms may increase request counts, token consumption, quota usage, latency, or Provider charges. A single Application request may involve multiple Provider calls. A failed request, a retry, or the absence of a usable response does not, by itself, mean that no Provider usage or charges arise; measurement and billing are determined under the Provider’s applicable terms.
Related auxiliary processing may continue after the main response has completed and may use other eligible Providers within your enabled configuration. Even where no additional response is returned to the original Application, such processing may consume Provider resources and incur charges.
For known material effects on usage or charges from translated or emulated implementations in Official Integrations, the disclosure principles in the “Provider Differences, Translation, and Emulated Features” section apply.
Usage and cost information displayed by Bricoop Desktop is informational. It may differ from Provider records or bills because of differences in measurement methods, available usage data, or update timing, and is not guaranteed to cover all billable operations. Charges imposed by a Provider are determined under its applicable terms, without affecting your rights under applicable law to verify or dispute a bill.
You are responsible, under your agreement with the Provider, for ordinary Provider charges arising from use within the scope of your authorization, including charges for normal additional usage caused by disclosed compatibility or emulation mechanisms.
For Provider charges directly caused by a defect in software or systems controlled by Bricoop, any responsibility of Bricoop remains subject to the liability limitations in these Terms and applicable law. This section does not affect any express commitments we have made that are binding on us in relation to you, or obligations imposed by applicable law.
12. AI-Assisted Actions, Local Security, and Backups
Where supported and authorized, AI-assisted workflows using Bricoop Desktop and connected Applications may involve actions affecting files, repositories, software, systems, accounts, networks, or external services. The relevant Applications, tools, or other components execute those actions; their permissions and controls depend on the relevant implementation and configuration.
These workflows may involve file and repository operations, code or command execution, package installation, network requests, configuration changes, or tool and external-service calls, and may have real and irreversible consequences.
You are responsible for reviewing material actions and permissions where review is reasonably available.
Unless a specific feature expressly states otherwise, Bricoop Desktop is not a backup or archival service. You should maintain appropriate backups of important data you need to preserve, especially before allowing AI-assisted actions to make material changes.
Bricoop Desktop and connected Applications may each provide permission controls, confirmations, network-destination restrictions, isolation, validation, or other safeguards within their respective areas of control. The measures available and their scope depend on the relevant functionality, implementation, and configuration, and cannot guarantee that every incorrect, harmful, malicious, or unintended action will be detected or prevented. Intentionally disabling, bypassing, or materially relaxing available security or approval controls may increase the risks reasonably associated with that choice.
AI-assisted features may process untrusted external content capable of influencing model behavior. Safeguards may reduce but cannot eliminate risks such as prompt injection, malicious instructions, or unintended tool use.
Security is a shared responsibility. Bricoop uses reasonable safeguards designed to protect Bricoop-controlled components, but no software or security system can guarantee absolute security. Local security measures cannot guarantee protection against compromise of a device, operating system, or user account, or risks posed by malware or other local processes with sufficient privileges.
Your review, configuration, and backup responsibilities do not relieve Bricoop of responsibility imposed by applicable law. Any responsibility of Bricoop remains subject to the liability limitations in these Terms and applicable law.
13. Acceptable Use
You may use the Services only for lawful purposes.
You must not use the Services to:
- violate applicable law;
- infringe the rights of another person;
- obtain unauthorized access to accounts, systems, or data;
- compromise, attack, or interfere with Bricoop-controlled software, systems, or infrastructure without authorization, including update, catalog, and support services;
- distribute malware through Bricoop-operated services;
- circumvent Bricoop security controls without authorization;
- abuse or materially disrupt Bricoop-operated services; or
- knowingly use a Provider or model in violation of applicable Provider terms or model or component licenses.
Acceptable-use, AI-safety, and other requirements of third-party-operated Providers apply independently under their terms to the extent applicable. For model services operated by you or your organization, you must still comply with applicable model and component licenses and law.
You must comply with applicable export-control, sanctions, and trade laws.
Good-faith research authorized within the scope and conditions of the Bricoop Security & Vulnerability Disclosure policy applicable when the relevant research was conducted is not treated as unauthorized under the prohibitions above. That authorization covers only assets that Bricoop has authority to authorize for testing and does not grant rights to conduct activities against independent third-party systems.
14. Changes, Updates, Deprecation, and Beta Features
The Services and the software, models, and other services they depend on may change over time. Subject to applicable law, binding commitments we have made, and existing rights, we may add, modify, replace, deprecate, suspend, or discontinue features, integrations, compatibility mechanisms, catalogs, APIs, supported versions, or services within Bricoop’s control.
We do not guarantee permanent availability of any Provider, model, endpoint, API, authentication method, integration, feature, or compatibility behavior.
Where reasonably practicable, we will use reasonable efforts to provide advance notice on our website of material Bricoop-controlled discontinuations or changes that break existing compatibility. Revisions to these Terms are governed by the “Changes to These Terms and General Provisions” section.
To the extent permitted by applicable law, we may make changes without advance notice where reasonably necessary because of security issues, legal requirements, Provider changes, abuse prevention, or protection of users or systems.
We may stop supporting older versions of Bricoop Desktop. Where reasonably necessary for security, compatibility, or service integrity, some Bricoop-operated services may require a supported or updated version. We do not guarantee indefinite backward compatibility.
Updates may modify, migrate, replace, or discontinue configurations or compatibility behavior where reasonably necessary.
Some features may be identified as Beta, Preview, Experimental, Early Access, or similar. Such features may be incomplete, contain errors, change materially, be discontinued, or not reach general release.
Unless separately agreed in writing, we do not commit to specific availability, support response times, or other service levels. This provision does not affect obligations imposed by applicable law.
15. Intellectual Property and Feedback
Bricoop and its licensors retain their rights in Bricoop’s software, branding, trademarks, logos, documentation, website content, product design, and Bricoop-operated services.
Your right to install and use Bricoop Desktop is governed by the applicable EULA.
Third-party and open-source components remain subject to their applicable licenses.
If you voluntarily provide suggestions, ideas, feature requests, bug reports, or other feedback about Bricoop’s products or services (“Feedback”), you grant Bricoop permission to use, adopt, and implement that Feedback to develop, improve, or provide products and services without an obligation to compensate you. This permission does not transfer any ownership rights you have in the Feedback.
Your Content, and any code, files, logs, screenshots, or other materials you provide to use the Services or obtain support, are not treated as Feedback merely because you use the Services, communicate with support, or submit those materials alongside Feedback. The processing of related personal information remains subject to the Bricoop Privacy Policy.
16. Suspension and Termination
You may stop using the Services at any time and may uninstall Bricoop Desktop.
Subject to applicable law, binding commitments we have made, and existing rights, Bricoop may restrict, suspend, or terminate access to Bricoop-operated services where reasonably necessary because of:
- material breach of these Terms;
- unlawful or abusive activity;
- security risks;
- legal requirements; or
- protection of users or Bricoop systems.
The scope of those measures should be reasonably proportionate to the issues and risks involved.
Where reasonably practicable and permitted by law, we will use reasonable efforts to explain the reasons for and scope of a restriction. For issues reasonably capable of being remedied, we may provide an opportunity to remedy them where appropriate. We may take immediate action where reasonably necessary because of urgent security risks, legal requirements, or protection of users or systems.
Restricting access to Bricoop-operated services does not automatically terminate your software license under the EULA. Whether local functionality continues to operate depends on its reliance on those services, Providers, and other external components. Termination of the software license is governed by the applicable EULA.
Stopping use of the Services or restricting, suspending, or terminating service access does not affect previously accrued rights, obligations, or liabilities, or provisions that by their nature should continue to apply.
If you have questions about a restriction on service access, you may contact support@bricoop.com.
17. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available.”
Except for warranties, obligations, and rights that cannot lawfully be excluded or limited, and any warranties or commitments we have expressly made that are binding on us in relation to you, Bricoop does not warrant that:
- the Services will always be available or completely free of errors;
- all vulnerabilities or defects will be detected or corrected;
- any Provider or Application will remain available;
- integrations will remain compatible indefinitely;
- AI Output will be accurate, complete, current, secure, or suitable for a particular purpose;
- translated or emulated functionality will be equivalent to native functionality;
- every Custom Integration will be safe or compatible; or
- the Services will meet every regulatory, industry, security, or compliance requirement.
Use of the Services for business purposes does not mean that Bricoop is certified or approved for a particular regulatory or industry regime unless we expressly state otherwise.
Nothing in these Terms excludes or limits any warranty, duty, right, or remedy that applicable law does not permit us to exclude or limit.
18. Limitation of Liability
This Section applies only to the maximum extent permitted by applicable law.
18.1 Third-Party and User-Controlled Risks
To the extent permitted by applicable law, Bricoop is not responsible for losses caused by the following parties or matters insofar as they act, operate, or are configured outside Bricoop’s control:
- Providers;
- Applications;
- Custom Integrations;
- third-party websites or services; or
- configurations, credentials, permissions, or security controls selected or supplied by you.
This exclusion does not apply to the extent a loss was directly caused by Bricoop-controlled software, systems, or conduct. Any resulting responsibility of Bricoop remains subject to the other liability limitations in this section and applicable law.
18.2 Types of Loss
To the maximum extent permitted by applicable law, Bricoop will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. This includes loss of profits, revenue, business, opportunities, goodwill, or use, business interruption, or the cost of substitute products or services, to the extent such losses fall within those categories.
This section does not categorically exclude direct loss or corruption of data caused by a defect in Bricoop-controlled software or systems. Any resulting liability remains subject to the aggregate liability cap and the provisions on rights and liabilities that cannot be limited in this section. Your responsibility to maintain appropriate backups does not itself eliminate responsibility for such a defect.
18.3 Aggregate Liability Cap
To the maximum extent permitted by applicable law, BRICOOP LIMITED’s total aggregate liability arising out of or relating to the Services, these Terms, or the EULA applicable to you, regardless of the form of action or legal theory, will not exceed the greater of:
(a) US$100; or
(b) the amount you paid to Bricoop for the Service giving rise to the claim during the 12 months preceding the event giving rise to liability.
These Terms and the EULA applicable to you share this aggregate liability cap. It is not calculated separately for each agreement, claim, or incident.
18.4 Rights and Liabilities That Cannot Be Limited
Nothing in these Terms excludes or limits:
- liability for fraud or fraudulent misrepresentation;
- liability for death or personal injury where such liability cannot lawfully be excluded or limited;
- liability for gross negligence or willful misconduct where such liability cannot lawfully be excluded or limited;
- mandatory consumer rights; or
- any other liability that applicable law does not permit to be excluded or limited.
If applicable law gives you non-waivable rights concerning the exercise of reasonable care and skill or other mandatory standards for software or services, those rights are not restricted by this section.
Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the exclusions and limitations above apply only to the extent legally permitted.
19. Governing Law and Disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-law principles.
Except as expressly provided in this section or required by applicable law, the courts of the Hong Kong Special Administrative Region have exclusive jurisdiction over any dispute, claim, action, or proceeding arising out of or relating to these Terms or the Services, including the formation, validity, interpretation, performance, breach, or termination of these Terms. You and Bricoop submit to the jurisdiction of those courts and agree that such proceedings will be brought only in those courts.
Nothing in this section limits any jurisdiction, right, protection, or remedy that cannot lawfully be waived under applicable law. Where applicable law requires a particular jurisdiction or gives you a non-waivable right to bring proceedings in another court, the court-selection agreement above does not override those rules or restrict that right. If you are a consumer, the choice of Hong Kong law does not deprive you of protections afforded by provisions that cannot be derogated from by agreement under the law that would apply in the absence of this choice.
Interim and Protective Relief. Either party may seek interim, provisional, emergency, protective, or conservatory relief from any court of competent jurisdiction where such relief is available and reasonably necessary to preserve rights or prevent material harm pending final resolution of a dispute. Any such application remains subject to applicable law and that court’s jurisdiction and requirements. Except as otherwise provided in this section or required by applicable law, seeking such interim relief does not itself change the exclusive-jurisdiction arrangement for the underlying dispute.
Bricoop Protective Claims. Subject to applicable law, Bricoop may also bring proceedings in any court of competent jurisdiction for claims directly concerning:
- (a) infringement or misappropriation of Bricoop’s intellectual property or proprietary rights;
- (b) unauthorized acquisition, use, or disclosure of Bricoop’s confidential information; or
- (c) unauthorized access to, use of, attack on, or interference with Bricoop-controlled software, services, accounts, networks, or systems.
Bricoop may seek any remedy available under applicable law in connection with those claims. This exception applies only to claims that independently and directly concern one of the matters listed above; ordinary contractual payment or performance disputes do not fall within it merely because the conduct constitutes a breach of contract or is described as unauthorized use.
Nothing in this section narrows any authorization or safe harbor expressly granted under the version of the Bricoop Security & Vulnerability Disclosure policy applicable when the relevant research was conducted.
Recognition and Enforcement. Either party may seek recognition or enforcement of a judgment or order, in accordance with applicable law, in any court of competent jurisdiction where the other party or its assets may be located.
Class and Representative Action Waiver. To the fullest extent permitted by applicable law, you and Bricoop agree that each may bring disputes and claims only in an individual capacity. Neither party may bring or participate in a dispute as a plaintiff, claimant, class member, or representative in any purported class, collective, consolidated, or representative action or proceeding.
This waiver does not apply to any right, remedy, or proceeding that cannot lawfully be waived under applicable law. It does not prevent either party from reporting matters to governmental or regulatory authorities, or restrict proceedings brought by governmental or regulatory authorities, authorized consumer organizations, or other persons or bodies acting under statutory authority.
Severability of Dispute Provisions. To the extent permitted by applicable law, any court-selection or individual-proceeding provision in this section that is held invalid or unenforceable for a particular claim, person, or jurisdiction will be severed or limited only to the minimum extent necessary to address that invalidity or unenforceability. Such a finding does not, by itself, invalidate the remaining provisions or their application to other claims, persons, or jurisdictions, which continue to apply only to the extent permitted by applicable law.
No Mandatory Arbitration. Nothing in this section requires either party to submit a dispute to arbitration.
20. Changes to These Terms and General Provisions
We may update these Terms from time to time.
We publish the Terms at a fixed website address and identify their update and effective dates. Editorial corrections that do not materially change their meaning, rights, or obligations do not require renewed acceptance.
For substantive changes, we publish a change summary and seek renewed express acceptance. Where required by law or reasonably appropriate, we provide reasonable notice before the changes take effect. Urgent changes required by law or for security may require a shorter notice period, subject to applicable law.
The Terms and EULA may be revised separately. An ordinary software update does not itself mean that these documents have changed, and a substantive change can be published independently of a software update.
Where renewed express acceptance is required, the revised provisions apply prospectively to you from the later of your valid acceptance time and the stated effective time, subject to mandatory law. Until then, the previously applicable terms continue to govern existing use unless lawfully terminated. Software installation, automatic startup, background tasks, or continued execution alone do not constitute the express acceptance we request.
You may choose not to accept the revised Terms. Subject to applicable law, binding commitments we have made, and existing rights, we may condition further interactive use or new functionality on express acceptance. You may decline that condition by stopping use of the affected Services or functionality. Restrictions on service access and termination of the software license remain governed by these Terms and the EULA applicable to you, respectively.
If any provision of these Terms is held unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
If Bricoop does not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.
Except where applicable law provides otherwise or we agree in writing, you may not assign or transfer these Terms or any rights or obligations under them. Bricoop may make a corresponding assignment or transfer in connection with a merger, acquisition, corporate reorganization, or transfer of the relevant business or assets, subject to applicable law and without depriving you of non-waivable rights under that law.
To the extent permitted by applicable law, Bricoop is not responsible for delays or inability to perform directly caused by events reasonably beyond its control. Where reasonably practicable, we will take reasonable measures to mitigate their effects. This provision does not exclude obligations, liabilities, or remedies that cannot lawfully be excluded.
These Terms, the applicable EULA, and any applicable product-specific terms form the agreement between you and Bricoop concerning their respective subject matter. Nothing in this provision excludes liability for a representation or other matter that applicable law does not permit to be excluded.
If these Terms and the EULA applicable to you directly conflict, that EULA controls only for matters specifically concerning the Bricoop Desktop software license. These Terms control for other matters concerning the Services, including Provider connections, usage and charges, AI Output, and Bricoop-operated websites and online services. Other applicable product-specific terms control for the relevant product or feature where they expressly provide otherwise.
